1. Introduction and Service Description

1.1 About Ride Safar

ZanCo Holdings Ltd trading as Ride Safar (“Ride Safar,” “we,” “us,” or “our”) operates a technology platform accessible via mobile application and website (collectively, the “Platform”) that enables independent transportation providers (“Drivers”) to publish pre-planned intercity journeys and travelers (“Passengers”) to discover and reserve seats on those journeys.

1.2 Nature of Service

Ride Safar is a marketplace platform, NOT a transportation provider.

Ride Safar does not:

• Own, lease, or operate any vehicles used for transportation
• Employ, engage, or contract Drivers to provide transportation services
• Set routes, schedules, destinations, or pricing for journeys
• Dispatch or assign Drivers to Passengers
• Guarantee the availability of transportation at any time or location
• Provide transportation services of any kind

Ride Safar's service is limited to:

• Providing technology infrastructure for Drivers to publish journey offerings
• Providing technology infrastructure for Passengers to discover and reserve seats
• Facilitating secure payment processing between parties
• Enforcing commitment agreements entered into between Drivers and Passengers
• Operating a reputation and review system

1.3 Relationship Between Parties

The transportation service is provided directly by the Driver to the Passenger. Ride Safar is not a party to the transportation agreement between Driver and Passenger.

2. Driver Terms

2.1 Driver Status

Drivers using the Ride Safar Platform are independent, self-employed individuals or business entities. Drivers are NOT employees, workers, agents, or representatives of Ride Safar.

By using the Platform as a Driver, you acknowledge and agree that:

• You operate your own independent transportation business or provide transportation as a private individual
• You have complete autonomy over whether, when, and where to offer transportation services
• You are not obligated to accept any booking request or use the Platform at any particular time
• You independently determine the routes, times, prices, vehicle, and passenger preferences for your journeys
• Ride Safar does not control, direct, or supervise your transportation activities
• You are responsible for all costs associated with your vehicle, including fuel, maintenance, insurance, and licensing
• You are responsible for compliance with all applicable laws and regulations

2.2 Journey Publication

Drivers may publish journeys they independently intend to make. Ride Safar does not request, require, or direct Drivers to make any particular journey. All journeys on Ride Safar are pre-arranged and scheduled in advance.

2.3 No Exclusivity

Drivers may use any other platforms, services, or methods to offer transportation services. Ride Safar does not require exclusivity of any kind.

2.4 Driver Obligations

While Ride Safar does not control Driver activities, Drivers agree to:

• Provide accurate information about journeys, vehicles, and themselves
• Honor confirmed bookings in accordance with the Commitment Terms
• Maintain valid driver's licenses and vehicle documentation
• Maintain appropriate insurance coverage
• Comply with all applicable transportation laws and regulations
• Not engage in illegal activities using the Platform

3. Passenger Terms

3.1 Passenger Acknowledgment

By using the Platform as a Passenger, you acknowledge and agree that:

• Transportation services are provided by independent Drivers, not Ride Safar
• Ride Safar does not guarantee the availability of any journey
• You are entering into a direct agreement with the Driver for transportation
• Ride Safar's role is limited to facilitating the connection and processing payment

3.2 Passenger Obligations

Passengers agree to:

• Provide accurate booking information
• Arrive at the designated pickup location at the agreed time
• Honor confirmed bookings in accordance with the Commitment Terms
• Treat Drivers and other passengers with respect
• Comply with reasonable vehicle rules set by the Driver
• Not engage in illegal activities during transportation

4. Commitment Terms — The Lock Mechanism

4.1 Commitment Model

Ride Safar operates on a commitment-enforced model. Once a booking enters the “Lock Window,” both Driver and Passenger are bound by their commitment and may face consequences for breach.

This is not a penalty for using the service. It is enforcement of a voluntarily entered agreement between Driver and Passenger.

4.2 Lock Window

The “Lock Window” is the period before scheduled departure when commitments become binding:

Before the Lock Window: Either party may cancel freely without penalty. Full refund to Passenger if cancelled.

After the Lock Window (LOCKED): The journey is considered a binding commitment. Cancellation by either party triggers consequences as specified below.

4.3 Driver Commitment Breach

If a Driver fails to fulfill a locked commitment (cancellation, no-show, or abandonment), the Driver agrees to:

• Forfeit earnings from the affected booking(s)
• Pay a commitment breach fee as specified in the Fee Schedule
• Accept reputation impact on their Driver profile
• Accept potential temporary restriction from the Platform

4.4 Passenger Commitment Breach

If a Passenger fails to fulfill a locked commitment (cancellation or no-show), the Passenger agrees to:

• Forfeit all or part of the booking amount as specified in the Fee Schedule
• Accept that the Driver may receive compensation for the breach

4.5 Platform Guarantee

Ride Safar offers a Platform Guarantee to Passengers: if a Driver breaches their commitment after the Lock Window, Ride Safar will:

• Attempt to find an alternative journey for the Passenger; or
• Issue a full refund of the booking amount

This guarantee is provided by Ride Safar as a platform service and does not make Ride Safar a party to the transportation agreement or a provider of transportation services.

5. Payments

5.1 Payment Processing

Ride Safar facilitates payment processing between Passengers and Drivers. When a Passenger makes a booking:

• Payment is authorized at the time of booking
• Payment is captured when the journey enters the Lock Window
• Funds are held in escrow until journey completion
• Upon successful completion, funds are released to the Driver minus the Platform Fee

5.2 Platform Fee

Ride Safar charges a Platform Fee for use of its services. The Platform Fee is deducted from the amount paid by the Passenger before remitting to the Driver. Ride Safar reserves the right to modify the Platform Fee with reasonable notice.

5.3 Driver as Merchant of Record

For tax and regulatory purposes, the Driver is the merchant of record for the transportation service. Ride Safar acts only as a payment facilitator.

6. Intellectual Property and Data

6.1 Platform Ownership

The Platform, including all software, designs, and content created by Ride Safar, is owned by Ride Safar and protected by intellectual property laws.

6.2 User Content

Users retain ownership of content they submit (reviews, photos, etc.) but grant Ride Safar a license to use such content in connection with the Platform.

6.3 Data Processing

Ride Safar processes personal data in accordance with our Privacy Policy, which is incorporated by reference.

7. Disclaimers and Limitations

7.1 No Transportation Warranty

Ride Safar does not provide transportation services and makes no warranties regarding the quality, safety, reliability, or legality of transportation services provided by Drivers.

7.2 Driver Vetting

While Ride Safar may conduct certain verification checks on Drivers, these checks are limited and do not constitute a guarantee of Driver suitability, safety, or reliability.

7.3 Limitation of Liability

To the maximum extent permitted by law, Ride Safar's total liability for any claims arising from use of the Platform shall not exceed the fees paid by the claimant to Ride Safar in the 12 months preceding the claim.

Ride Safar shall not be liable for:

• Acts or omissions of Drivers or Passengers
• Personal injury, death, or property damage arising from transportation
• Delays, route changes, or journey cancellations
• Disputes between Drivers and Passengers

7.4 Indemnification

Users agree to indemnify Ride Safar against claims arising from their use of the Platform or their provision/receipt of transportation services.

8. Dispute Resolution

8.1 Between Users

Disputes regarding transportation services should be resolved directly between Driver and Passenger. Ride Safar may, at its discretion, facilitate communication or provide mediation, but is not obligated to do so.

8.2 With Ride Safar

Disputes regarding Platform services should be submitted through the in-app support system. Ride Safar will endeavor to resolve disputes within 30 days.

8.3 Governing Law

For users in the Kingdom of Saudi Arabia: These Terms are governed by the laws of the Kingdom of Saudi Arabia. Disputes shall be resolved in the courts of Riyadh, Saudi Arabia.

For users in the United Kingdom: These Terms are governed by the laws of England and Wales. Disputes shall be resolved in the courts of England and Wales.

9. Regulatory Compliance

9.1 Saudi Arabia

Ride Safar operates in compliance with applicable Saudi Arabian regulations, including those issued by the Transport General Authority (TGA) and the Communications and Information Technology Commission (CITC). Ride Safar is registered as a technology platform, not as a transportation company or public transportation provider.

9.2 United Kingdom

Ride Safar operates in compliance with applicable UK regulations. Ride Safar is not licensed as a private hire operator and does not provide services that require such licensing. The pre-arranged, scheduled nature of journeys on Ride Safar distinguishes the service from on-demand private hire.

10. General

10.1 Modifications

Ride Safar may modify these Terms with reasonable notice. Continued use of the Platform after modifications constitutes acceptance.

10.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

10.3 Entire Agreement

These Terms, together with the Privacy Policy and Fee Schedule, constitute the entire agreement between users and Ride Safar regarding Platform services.
